    Parties: This agreement is between NCC Business Services, Inc., hereinafter referred to as NCC located at 3733 University Blvd. West, Suite 300, Jacksonville, FL 32217 and the PropertyCollect User hereinafter referred to as Client.

    Term/Rate: This agreement shall remain in effect beginning today and remain in effect until terminated by client or NCC with no less than thirty days written notice.  During such term, NCC shall charge the Client 40% of the total monies collected on the client's behalf.  The Client shall be entitled to submit to NCC accounts with balances of one hundred dollars or more.

    All monies properly due to the Client shall be remitted to the Client on a monthly basis.

    NCC shall furnish to the client the following reports via fax, mail or Internet:

    1. Status reports for individual offices.
    2. Portfolio reports for multiple offices.

    The Client shall retain the power to suspend collection action, either temporarily or permanently, on any account referred to NCC.  There is a forty eight-hour grace period on accounts placed with NCC in which accounts can be cancelled by client without being responsible for any agency commissions.

    The Client authorized NCC to act as attorney-in-fact relative to checks, drafts, money orders, etc., received during the collection of account submitted.

    NCC will strictly comply with both the Fair Debt and Collection Practices Act (public law 95-109) and the Code of Ethics as adopted by the American Collectors Association.  NCC hereby undertakes and agrees to indemnify, save, defend and hold client, its directors, officers, employees, agents or affiliates (the "Indemnified Parties") harmless from and against any and all claims, demands, causes of action, loss, expense, fines, penalties, judgments or costs (including, without limitation, reasonable attorney's fees, court costs and other costs and expenses) of every kind and character whatsoever, whether or not foreseeable, and whether known or unknown, which the Indemnified Parties may incur, suffer or become liable for, or which may be asserted or claimed against the Indemnified Parties arising out of, or resulting from (a) any act, error or omission of NCC or any employee of Contractor arising out of the work performed by NCC's employees; (b) any violation claimed by employees of Contractor relating to the Americans with Disabilities Act, the Age Discrimination in Employment Act, the Family and Medical Leave Act, the Civil Rights Act of 1964, the Fair Labor Standards Act, or any other law, whether common law or statutory, relating to the employment relationship; or (c) any nonpayment of any federal, state and local taxes or contributions imposed that are required pursuant to unemployment insurance, social security, income, workmen's compensation and similar laws.  Notwithstanding any provision herein to the contrary, this provision shall survive termination of this Agreement.  NCC agrees to hold client harmless and be solely responsible for the employment, acts, omissions, control and directions of our employees, from any and all claims, demands, actions, damages, liability and expenses of any nature whatsoever that may asserted as a result of NCC's acts or omissions.

    NCC shall not be responsible for any damages resulting from the client's failure to report information to NCC or for the clients' submission of accounts that are not correct and/or proper under either state or federal statutes.

    In the event litigation shall be necessary to effect collection of monies owing to the client, NCC shall contact the client for written authorization to proceed with suit.

    If authorized, the client will have the option of advancing to NCC all costs necessary to initiate suit (i.e.  processing fees, filing fees, service fees, recording fees, etc.) or have said fees deducted from future collection accounts.  Other than the above-indicated costs of litigation, the client shall in no way be responsible or obligated to pay any fees to NCC's attorney for the collection and/or prosecution of client's delinquent account.

    All agreements between NCC and client are incorporated herein, and no statement made by either party shall be deemed to have waived or varied the terms herein expressed.

    Client authorizes NCC Business Services, Inc.  to report delinquent accounts to Equifax, Experian and Trans Union.  Client specifically agrees that NCC Business Services, Inc.  acts solely as clients agent for such purposes, and agrees that NCC Business Services shall not be held responsible for any damages, whether direct, indirect, or otherwise, resulting from the clients failure to report to NCC Business Services Inc., or by virtue of submission of an account to any credit reporting agency, which is not fully correct, and authorized under either state or federal law.  Client shall indemnify and hold NCC Business Services, Inc. harmless for any damages or expenses NCC Business Services, Inc.  may suffer or incur as a result of such reporting.
