<li><strong>Description of Services</strong>. PropertyBoss provides Customer access to its software application on a subscriber basis. In addition to software access through the Internet, PropertyBoss agrees to provide all maintenance and enhancements to the online application (excluding optional modules that are sold separately) and provide technical support to Customers’ identified users as part of the access fee. Training and implementation services are available for an additional charge that is not part of the access fee.</li>
<li><strong>Payment</strong>. Services are invoiced on a quarterly basis and due on the first day of the billing period. Preauthorized automatic check draft is the designated payment method.<br />
PropertyBoss guarantees the following subscription rates for the initial period of one year unless modified by a written proposal. A credit of $495 is applied to the setup fee for one year agreements.<br />

<li><strong>Late Payments</strong>. Any payment not received by the due date is considered late and subject to accruing interest at one and one-half percent (1.5%) per month. If Customer is late more than twice during the contract period, PropertyBoss, upon written notice, may modify the payment terms to require full payment or other assurances before continuing service.</li>
<li><strong>Restrictions to use of Service</strong>. Customer agrees to use only the user IDs and passwords assigned by PropertyBoss. Customer agrees to notify PropertyBoss immediately of any user ID changes or terminations that are required to maintain data security. Customer further agrees not to disclose or give access or use of the application to any other entity without prior written notice to and approval of PropertyBoss.</li>
<li><strong>Warranties &amp; Obligations</strong>. PropertyBoss warrants the use of its proprietary software via the Internet for the purpose of property management. PropertyBoss shall maintain and protect Customer’s database stored on PropertyBoss’s or affiliate’s equipment. Any defects in services or products provide by PropertyBoss or its affiliates shall be rectified or restored as soon as practicable.PropertyBoss guarantees access to the application between the hours of 7:00AM EST and 9:00PM EST. The system will generally be available between 2:00AM EST until 10:00PM EST except during periods for system maintenance. This service level warranty does not apply to service interruptions due to access difficulties attributable to Customer’s Internet Service Provider (ISP), general Internet disruptions beyond PropertyBoss’s control, acts of God, or other unforeseeable circumstances. Further, this warranty does not apply to service outside the guaranteed hours previously mentioned where database maintenance or other maintenance may be performed.</li>
<li><strong>Term</strong>. This Agreement is effective for twelve months following the Effective Date. It is automatically renewed in one (3) month increments unless written notice is provided at least thirty (30) days prior to the expiration of the current term of the Agreement. This Agreement may also be terminated (a) upon purchase of the software or (b) immediately upon notification of material breach of any of the provisions of this Agreement. The $495 setup fee credit is due should the initial one year term is not completed.</li>
<li><strong>Purchase of Software</strong>. Customer may elect to purchase the software and obtain a credit of up to 100% of hosting fees, depending upon when the date of purchase.</li>
<li><strong>Indemnification</strong>. PropertyBoss and Customer will indemnify, defend and hold each harmless from and against any and all costs, liabilities, losses, and expenses (including, but not limited to, reasonable attorneys’ fees) resulting from any claim, suit, action, or proceeding brought by any third party against PropertyBoss and/or Customer or its affiliates alleging (i) the infringement or misappropriation of any intellectual property right relating to the delivery or use of the Service(s); (ii) personal injury caused by the negligence or willful misconduct of Customer, its representative(s) or designees; (iii) any violation of or failure by Customer to comply with the Agreement, or (iv) damage or destruction to the premises, network, Customer’s equipment, PropertyBoss equipment, or other Customer equipment caused by Customer, its representative(s) or designees.</li>
<li><strong>DISCLAIMER</strong>. IN THE EVENT THAT PROPERTYBOSS PROVIDES CUSTOMER WITH PROD-UCTS IN CONJUNCTION WITH THE SERVICES, SUCH AS THIRD PARTY SOFTWARE PRODUCTS OR EQUIP-MENT, PROPERTYBOSS ALSO PROVIDES SUCH PRODUCTS OR EQUIPMENT “AS IS” WITHOUT WAR-RANTY OF ANY KIND, WHETHER EXPRESSED OR IMPLIED. NEITHER PROPERTYBOSS NOR ITS AFFILIATES WARRANTS THAT ANY INFORMATION, SOFTWARE OR OTHER MATERIAL ACCESSIBLE ON THE INTERNET IS FREE OF VIRUSES, WORMS, TROJAN HORSES OR OTHER HARMFUL COMPONENTS. PROPERTYBOSS MAKES NO WARRANTY THAT THE SERVICES WILL MEET CUSTOMER REQUIREMENTS OR WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE. PROPERTYBOSS MAKES NO WARRANTY AS TO THE (A) RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES OR THE EQUIPMENT, (B) ACCURACY OR RELIABILITY OF ANY COMMUNICATIONS OR TRANSMISSIONS, (C) ACCURACY OF ANY TRANSLATION OR ALTERATION OF CUSTOMER TRANSMISSIONS OR DATA, OR (D) ACCURACY OF ANY INFORMATION OBTAINED THROUGH THE SERVICES. PROPERTYBOSS MAKES NO WARRANTY THAT DEFECTS IN THE SERVICES OR EQUIPMENT WILL BE CORRECTED. CUSTOMER UNDERSTANDS AND AGREES THAT ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES ARE DONE AT CUSTOMER’S OWN DISCRETION AND RISK, SUBJECT TO THE RESTRICTIONS SET FORTH HEREIN, AND THAT CUSTOMER WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO CUSTOMER’S COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL AND/OR DATA. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY CUSTOMER FROM PROPERTYBOSS OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.</li>
<li><strong>LIMITATION OF LIABILITY</strong>. IN NO EVENT SHALL PROPERTYBOSS OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, DAMAGES OR CLAIMS FOR LOSS OF PROFITS, REPLACEMENT GOODS, LOSS OF TECHNOLOGY, LOSS OF RIGHTS OR SERVICES, OR INTERRUPTION OR LOSS OF USE OF SERVICE, OR DAMAGE TO, OR LOSS OF, ANY EQUIPMENT OR OTHER INTANGIBLE LOSSES. PROPERTYBOSS SHALL HAVE NO LIABILITY FOR FAILURE OF ANY PRODUCT RESIDING ON CUSTOMER’S EQUIPMENT OR TRANSMITTED THROUGH PROPERTYBOSS’S FACILITIES. USE OF ANY INFORMATION OBTAINED VIA PROPERTYBOSS SERVICES IS AT CUSTOMER’S OWN RISK.PROPERTYBOSS DOES NOT AND CANNOT CONTROL THE FLOW OF DATA TO OR FROM IT’S NETWORK AND OTHER PORTIONS OF THE INTERNET. SUCH FLOW DEPENDS IN LARGE PART ON THE PERFORMANCE OF INTERNET SERVICES PROVIDED OR CONTROLLED BY THIRD PARTIES. AT TIMES, ACTIONS OR INACTIONS OF SUCH THIRD PARTIES CAN IMPAIR OR DISRUPT CUSTOMER’S INTERNET CONNECTION (OR PORTIONS THEREOF). ALTHOUGH PROPERTYBOSS WILL USE COMMERCIALLY REASONABLE EFFORTS TO TAKE ALL ACTIONS IT DEEMS APPROPRIATE TO REMEDY AND AVOID SUCH EVENTS, PROPERTYBOSS CANNOT GUARANTEE THAT SUCH EVENTS WILL NOT OCCUR. ACCORDINGLY, PROPERTYBOSS DISCLAIMS ANY AND ALL LIABILITY RESULTING FROM OR RELATED TO SUCH EVENTS.
<p>The cumulative liability of PropertyBoss to Customer for all claims arising from or relating to this Agreement, including any cause of action sounding in contract, tort, or strict liability, shall not exceed the total amount paid by Customer to PropertyBoss hereunder for the six (6) month period plus any pro rated portion of monies received as down-payment prior to the event or events giving rise to such liability. This limitation of liability is intended to apply without regard to whether other provisions of the Agreement have been breached or have proven ineffective.</li>
<li><strong>Basis of the Bargain</strong>. The parties acknowledge that PropertyBoss has set its prices and entered into this Agreement in reliance upon the limitations of liability and the disclaimers of warranties and damages set forth herein, and that the same form an essential basis of the bargain between the parties. The parties agree that the limitations and exclusions of liability and disclaimers specified in this Agreement will survive and apply even if found to have failed of their essential purpose.<br />
12. Intellectual Property. Title in, and ownership of, all PropertyBoss Software programs and documentation, and all extensions thereof, shall remain at all times vested in PropertyBoss.</li>
<li><strong>Termination for Cause</strong>. Either party may terminate this Agreement if, (i) the other party breaches any material term or condition of this Agreement and fails to cure such breach within twenty (20) days after receipt of written notice of the same, except in the case of failure to pay fees, which must be cured within five (5) days after receipt of written notice from PropertyBoss; provided however, PropertyBoss shall be entitled to terminate the Agreement or the Services if it is reasonably necessary to prevent harm to PropertyBoss or its business; (ii) the other party becomes the subject of a voluntary petition in bankruptcy or any voluntary proceeding relating to insolvency, receivership, liquidation, or composition for the benefit of creditors; or (iii) the other party becomes the subject of an involuntary petition in bankruptcy or any involuntary proceeding relating to insolvency, receivership, liquidation, or composition for the benefit of creditors, if such petition or proceeding is not dismissed within thirty (30) days of filing.</li>
<li><strong>Termination Without Cause</strong>. Customer may terminate this Agreement without cause and at the Customer&#8217;s election within the first thirty (30) days of the original date of this Agreement by providing written notice to PropertyBoss. Customer understands and agrees that all fees and monies paid to PropertyBoss prior to termination without cause, including but not limited to prepaid fees for services and hosting, shall not be refundable and the Client shall not be eligible for any refund, partial or otherwise, on any such fees and monies.</li>
<li><strong>Entire Agreement; Amendment</strong>. This Agreement, together with any exhibits attached hereto, contains the complete and exclusive understanding and agreement of the parties with respect to its subject matter and supersedes, merges, and replaces all prior writings, discussions and understandings relating to such subject matter. This Agreement may only be amended by a written agreement and signed by authorized representatives of both parties.</li>
<li><strong>Force Majeure</strong>. Neither party shall be liable for any delay or failure to meet its obligations pursuant to this Agreement due to natural circumstances beyond its reasonable control, including, but not limited to war, riots, insurrection, civil commotion, fire, flood, storm or inability to obtain necessary labor, materials or manufacturing facilities as a direct result of such natural disasters.</li>
<li><strong>Severability</strong>. If any term or provision of this Agreement is found to be invalid or unenforceable for any reason, it shall be adjusted rather than avoided, if possible, so as best to accomplish the objective of the parties to the extent possible. In any event, the remaining terms and provisions shall be deemed valid and enforceable. It is expressly understood and agreed that each provision of this Agreement providing for a limitation of liability disclaimer or limitation of warranties, or exclusion of damages is intended by the parties to be severable and independent of any other provisions and to be enforced as such.</li>
<li><strong>Assignment</strong>. This Agreement is not assignable by Customer without written approval from PropertyBoss. In the event that Customer should change its legal structure or sell a substantial portion of its stock, or partnership interest, or ownership interest, then PropertyBoss shall have the option of immediate termination of this Agreement, as of that time. If the Agreement remains in effect, the Customer must continue to adhere to the terms of this Agreement. PropertyBoss may assign this Agreement and its interest in the Software to any party without the consent of the Customer.</li>
<li><strong>Waiver</strong>. The failure of either party any time to require performance by the other party of any provision hereof shall not affect in any way the full right to require such performance at any time thereafter; nor shall the waiver by either party of a breach of any provision hereof be taken or held to be a waiver of the provision itself.</li>
<li><strong>Voluntary Dispute Resolution</strong>. In the event of any controversy or claim arising out of or relating to this Agreement, two senior execu¬tives of each of the parties, who have settlement authority but do not have direct responsibility for the administration of this Agreement, will first attempt in good faith to resolve the matter. If the parties are unable to resolve a claim or controversy within sixty (60) days after written submis-sion to the senior executives, then the matter may be submitted to a court of competent juris¬diction. All negotiations conducted pursuant to this section are confidential and shall be treated as compromise and settlement negotiations for purposes of the Federal Rules of Evidence and state rules of evidence.The parties must submit any claim, controversy, or dispute within one year after such claim, controversy, or dispute becomes known to the party seeking redress. This section sets forth the exclusive method for adjudicating disputes between the parties arising out of or relating to this Agreement; provided that nothing in this section shall prevent a party from applying to the federal or state courts to obtain injunctive relief pending resolution of the dispute through the voluntary dispute resolution procedures set forth herein and to join in any such action such other claims as may be required to be brought by applicable joinder rules.</li>
<li><strong>Governing Law</strong>. This Agreement shall be governed by, and construed in accordance with, the laws of the South Carolina, excluding those laws that direct the application of the laws of another jurisdiction. The parties hereby consent to the exclusive jurisdiction of any State or Federal court located in South Carolina. Neither party shall knowingly take or fail to take any action that might cause it or the other party to be in violation of any law or regulation of the United States.</li>
<li><strong>Interpretation</strong>. The headings contained in this Agreement are solely for the purpose of reference, are not part of the agreement of the parties and shall not in any way affect the meaning or interpretation of this Agreement. As used in this Agreement, the term &#8220;person&#8221; shall mean and include an individual, a partnership, a joint venture, a corporation, a trust, a limited liability company, an unincorporated organization and a government or any department or agency thereof.</li>
<li><strong>Cooperation</strong>. Each party to this Agreement agrees to execute and deliver all documents and to perform all further acts and to take any and all further steps that may be reasonably necessary to carry out the provisions of this Agreement and the transactions contemplated hereby.</li>
<li><strong>Counterparts</strong>. This Agreement may be executed in counterparts, each of which shall be deemed an original, but which together shall constitute a single instrument.</li>
<li><strong>Notices</strong>. All notices relating to this Agreement shall be in writing, signed by the party giving or making such notice or communication, and shall be delivered by: (i) personal delivery; (ii) facsimile transmission; or (iii) by postage-prepaid certified or registered mail (airmail if available), return receipt requested. Notices shall be sent to the address of the other party set forth below, or such other address as either party may specify in writing in accordance with this section, and shall be deemed given upon personal delivery, three (3) business days after deposit in the mail, or upon acknowledgment or receipt of facsimile transmission.</li>
<li><strong>No Agency</strong>. All decisions regarding effectuation this Agreement and any action to be taken hereunder shall be solely at the discretion of the party making such decision. Neither party shall hold itself out as an agent of the other. Neither party shall have any authority to bind or obligate the other in any manner.</li>

<p>Alpha Property Management was founded in Greenville, SC, in 2007 when a local builder began placing renters in his growing inventory of new homes. In 2009, Carlos Tuazon and Jody Barber, who had been managing the properties for the builder, purchased the property management company and the rest is history!</p>
<p>“Throughout the years, we’ve met more local and out-of-state investors who were not happy with their property management companies and soon we started picking up more business through advertising, word of mouth and referrals,” says Tuazon.</p>
<p>Within two years, Alpha had grown beyond the utility QuickBooks alone could provide and began looking for a comprehensive software solution with full QuickBooks integration. After briefly using an ineffective software solution, Tuazon and Barber found PropertyBoss.</p>

<p>Greenville, SC, based software company PropertyBoss Solutions is seeking Implementation &amp; Training Specialists to provide training for new and experienced PropertyBoss users, including assistance in the configuration, setup and implementation of the PropertyBoss suite of property management software. This position requires a people-oriented professional who can manage software implementations that include our enterprise property management system and integration with QuickBooks and other financial accounting programs.</p>
<p><strong>Job Description:</strong></p>
<p>Implementation Specialists work with clients via interactive web sessions and/or on-site sessions. They are responsible for managing clients and the training and implementation process. Implementation Specialists are integral to providing client training during the implementation process. Implementation Specialists are expected to quickly learn the PropertyBoss application and develop an understanding of the business and accounting challenges of the property manager.</p>
<p><strong>Roles and Responsibility include:</strong></p>
<ul>
<li>Working with Software Solution Consultants to understand clients’ needs and develop a training plan to meet their requirements</li>
<li>Conducting interactive web training, typically in 1 to 2-hour blocks</li>
<li>Periodically traveling to conduct on-site training and implementation</li>
<li>Conducting quarterly classroom training using a pre-determined curriculum</li>
<li>Keeping abreast of the latest developments in our software solutions and QuickBooks</li>
</ul>
<p><strong>Job Experience / Requirements:</strong></p>
<p>This position requires an individual who can effectively communicate business, accounting and application level concepts to clients with a wide range of business and technology experience. A strong understanding of accounting principles and the QuickBooks application as well as previous experience with software applications is required. Other required skills include effective time management and a strong desire to provide world-class support to clients. Previous teaching and/or software training experience preferred. Knowledge of the property management industry is ideal.</p>
